1. Agreement

These Terms of Service ("Terms") govern your use of Exifed: the websites at exifed.com and exifed.photo, websites hosted on custom domains through Exifed, and related services (together, the "Service"). Exifed is a product of Zyref, LLC ("Zyref", "we", "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use Exifed on behalf of a business, you confirm that you can bind that business to these Terms.

2. Accounts and teams

• You must be at least 16 years old to use Exifed, and at least 18 (or the age of majority where you live) to buy a plan or sell photos.
• Keep your account information accurate and your sign-in secure. You are responsible for activity under your account.
• Accounts and content belong to a team. The team owner controls billing, payouts and membership. Anyone invited to a team acts on the owner's behalf, and the owner is responsible for what they do.
• Each person may have one free personal account. Creating extra accounts to get around plan limits is not allowed.

3. Plans, billing and cancellation

• Plans. Exifed has a free plan and paid plans. Features and limits (such as storage, custom domains and selling) depend on your plan. We may also offer private plans to specific customers.
• Payment. Paid plans are billed in advance, monthly or yearly, through Stripe. They renew automatically until cancelled. You authorise us to charge your payment method for each renewal and any applicable taxes.
• Trials. If a plan includes a trial, you will be charged when it ends unless you cancel first.
• Changes and cancellation. You can upgrade, downgrade or cancel at any time from your dashboard. Upgrades take effect immediately, and the price difference is prorated. Cancellations take effect at the end of the current billing period. Unless the law requires otherwise, fees already paid are not refunded.
• Downgrades and limits. If your plan changes or a payment fails, we won't delete your content because of it. Features outside your new plan stop working, and you cannot add new content beyond the new limits (for example, if you are over your storage limit).
• Price changes. We will tell you at least 30 days before a price change takes effect on your subscription.

4. Your content

You own your photos and everything else you upload ("Your Content"). To run the Service, you give Zyref a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, resize, convert and display Your Content, and to read its metadata. This licence covers only operating, securing and improving Exifed as you direct: for example, showing photos on your website, delivering them to people you share with, and delivering purchases to buyers. It ends when you delete Your Content, apart from copies kept for a limited time in backups, caches or where the law requires.

You confirm that you have all the rights needed for Your Content, including any model or property releases. You also confirm that Your Content and how you use it comply with these Terms and the law. We do not claim ownership of Your Content, and we do not use it to train artificial-intelligence models.

5. Acceptable use

You may not use Exifed to:

• upload or share content that is illegal, or that sexualises minors in any way;
• upload or share intimate images of anyone without their consent;
• infringe anyone's copyright, trademark, privacy or publicity rights;
• harass, threaten, defame or incite violence against anyone;
• send spam or unsolicited bulk email, including through gallery sharing invitations;
• phish, impersonate others (including Exifed or Zyref), or distribute malware;
• run a file-hosting or content-delivery service unrelated to your photography website;
• probe, scan, overload or interfere with the Service, or get around its security, plan limits or rate limits;
• scrape or copy the Service or other customers' content without permission.

We may remove content or restrict accounts that break these rules. Where appropriate, we will tell you why.

6. Selling photos

• Your Stripe account. If your plan includes selling, you can connect your own Stripe account. Payments go directly to that account. You must also agree to Stripe's own terms, including the Stripe Services Agreement and the Stripe Connected Account Agreement.
• You are the seller. You are the merchant of record for every sale. You are responsible for your prices, license terms and product descriptions, and for customer support, refunds, chargebacks and disputes. You are also responsible for any taxes (such as sales tax or VAT) due on your sales.
• Platform fee. Exifed charges the platform fee shown for your plan on each sale. Stripe deducts it automatically. Stripe's own processing fees are separate and are charged to your Stripe account.
• Delivery. Exifed delivers digital downloads to buyers on your behalf through expiring links. If a payment is refunded or disputed, we may disable its download links.
• Zyref is not a party to sales between you and your buyers.

7. Private galleries and sharing

Private galleries, passwords, expiring links and emailed access tokens help you control who sees your work. Anyone you give a link to can still forward it or save what they see, so share carefully. You are responsible for having permission to email the people you invite, and for honouring their requests to stop.

8. Subdomains and custom domains

Your site gets a subdomain of exifed.photo. We may reclaim or change a subdomain that is inactive, misleading, infringing or reserved. If you connect a custom domain, you must own or control it and keep its DNS settings correct. Domain registration and renewal are between you and your registrar.

9. Copyright complaints

We respond to notices of alleged copyright infringement that comply with the US Digital Millennium Copyright Act and similar laws. Send notices to copyright@exifed.com. Include:

• the work you believe is infringed;
• the URL of the material;
• your contact details;
• a statement that you have a good-faith belief that the use is not authorised;
• a statement, under penalty of perjury, that your notice is accurate and that you are authorised to act;
• your physical or electronic signature.

If your content was removed by mistake, you may send a counter-notice. We terminate the accounts of repeat infringers in appropriate circumstances.

10. Third-party services

Exifed works with third-party services such as Stripe, Cloudflare, analytics providers you choose to add, and your domain registrar. Their own terms govern your use of them, and we are not responsible for them.

11. Changes and availability

We continually improve Exifed and may add, change or remove features. If we remove a significant paid feature you rely on, we will give you reasonable notice. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. Features labelled beta or preview may change or be withdrawn.

12. Suspension and termination

• You can delete your account at any time. Export anything you want to keep first.
• We may suspend or terminate your access if you seriously or repeatedly break these Terms, if you don't pay, if required by law, or to protect the Service or others. Where reasonable, we will give notice and a chance to fix the problem first.
• After termination, your websites go offline and your content is deleted as described in our Privacy Policy. Sections that by their nature should survive termination will survive, including sections 4, 6 and 13 to 16.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied. This includes warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy. Metadata shown by Exifed is read from your files and may be incomplete or inaccurate.

14. Limitation of liability

To the fullest extent permitted by law, neither Zyref nor its suppliers will be liable for:

• indirect, incidental, special, consequential or punitive damages;
• lost profits, revenue, data or goodwill.

Zyref's total liability for all claims relating to the Service is limited to the greater of (a) the amounts you paid Zyref for the Service in the 12 months before the claim and (b) US $100. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

You will defend and indemnify Zyref against claims, damages and costs (including reasonable legal fees) arising from:

• Your Content;
• your sales to buyers;
• your breach of these Terms or the law.

16. Governing law and disputes

These Terms are governed by the laws of the United States and of the state in which Zyref, LLC is organised, without regard to conflict-of-law rules. Before filing a claim, each party agrees to try in good faith to resolve the dispute informally for at least 30 days. To start, write to legal@exifed.com. If you are a consumer, you keep any mandatory protections of the law where you live.

17. Changes to these terms

We may update these Terms from time to time. We will post the new version here and update the date at the top. If the changes are material, we will notify account holders at least 30 days before they take effect. If you keep using the Service after that, you accept the updated Terms.
